(e) Retention Bonus Agreement with Joseph R. Lussier
As previously disclosed, Enterprise Bancorp, Inc. (the “Company”) entered into that certain Agreement and Plan of Merger, dated December 8, 2024 (the “Agreement”), by and among the Company, Enterprise Bank and Trust Company, a Massachusetts-chartered trust company and wholly owned subsidiary of the Company (“Enterprise Bank”), Independent Bank Corp. (“Independent”), and Rockland Trust Company, a Massachusetts-chartered trust company and wholly owned subsidiary of Independent (“Rockland”), pursuant to which, upon the terms and subject to the conditions of the Agreement, the Company will merge with and into Independent, with Independent continuing as the surviving corporation (the “Proposed Transaction”).
On Tuesday, December 17, 2024, Enterprise Bank and Joseph R. Lussier entered into a Retention Bonus Agreement (the “Retention Bonus Agreement”), providing Mr. Lussier with a cash retention bonus of $100,000 to be paid in two equal installments (the “Retention Bonus”). The first installment of $50,000 will be paid on or prior to December 31, 2024, provided that Mr. Lussier remains employed by and in good standing with Enterprise Bank through the payment date of such first installment. The second installment of $50,000 will be paid within 30 days immediately following the completion of the Proposed Transaction, provided that Mr. Lussier remains employed by and in good standing with Enterprise Bank through consummation of such Proposed Transaction.
