Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 30, 2024, Robert K. (Kelly) Ortberg notified the Board of Directors (the “Board”) of RTX Corporation (the “Company”) of his intention to resign as a director of the Company, effective as of July 31, 2024. Mr. Ortberg has been a distinguished member of, and has provided significant contributions and guidance to, the Board. Mr. Ortberg has also served as a member of the Board’s Finance Committee and Special Activities Committee. Mr. Ortberg’s resignation was not the result of any dispute or disagreement with the Company or the Board on any matter relating to the operations, policies or practices of the Company.  Effective upon Mr. Ortberg’s resignation as a director, the size of the Board will be reduced from thirteen to twelve.
