Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     Randy L. Reed resigned as Senior Vice President — Sales and Marketing of First Acceptance Corporation effective May 22, 2008. The Company has not yet identified a successor for Mr. Reed. Stephen J. Harrison, our Chief Executive Officer, will assume Mr. Reed’s duties until a successor for Mr. Reed is identified by the Company. The Company will accrue a charge of approximately $235,000 during the quarter ended June 30, 2008 related to payments to be made to Mr. Reed following his resignation.
