(d) Effective August 26, 2004, the Board of Directors of First Acceptance Corporation (the “Company”) elected the Honorable Lyndon L. Olsen, Jr. as a director of the Company to serve until the Company’s 2004 annual meeting of shareholders. Mr. Olson will serve as a member of the Compensation Committee of the Company’s Board of Directors.
