(e) On June 10, 2008, the Board of Directors of Hot Topic, Inc. (the “Company”) extended the post-termination exercise period from 120 to 180 days for currently outstanding stock options held by, and future stock options granted to, current and former non-employee directors of the Company, under the Company’s 2006 Equity Incentive Plan and the Company’s 1996 Non-Employee Directors’ Stock Option Plan. A copy of the Company’s 1996 Non-Employee Directors’ Stock Option Plan, as so amended, is attached hereto as Exhibit 10.1 and incorporated herein by reference.
