(d) On June 14, 2007, Evelyn D’An was appointed as member of our Board of Directors and the Audit Committee of our Board of Directors. In connection with her appointment, Ms. D’An received a stock option to purchase 11,196 shares of our common stock at an exercise price of $11.21 (the closing sales price of our common stock on June 14, 2007) and a stock grant of 2,230 shares of our common stock. We announced Ms. D’An’s appointment in the press release dated June 18, 2007 attached hereto as Exhibit 99.1 and incorporated herein by reference.
