Item 1.01 Entry into a Material Definitive Agreement.

On June 13, 2006, our stockholders approved the Hot Topic, Inc. 2006 Equity Incentive Plan at our 2006 Annual Meeting of Shareholders. The Plan had previously been adopted by our board of directors. A copy of the Plan and the forms of option agreements thereunder are attached hereto as Exhibits 99.1, 99.2 and 99.3 and the terms of the Plan and forms of option agreements are hereby incorporated by reference into this Item 1.01.
