Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On December 24, 2008, Gilberto Rivera Arreaga tendered his resignation from the Board of Directors of R&G Financial Corporation (the “Company”) and its subsidiaries effective as of December 31, 2008. Prior to his resignation, Mr. Rivera Arreaga served as a Director of the Company since 1996. Mr. Rivera Arreaga was also a Director of R-G Premier Bank of Puerto Rico and R&G Mortgage Corporation, each a subsidiary of the Company. Mr. Rivera Arreaga also served as a member of the Audit and Strategic Capital committees of the Company. Mr. Rivera Arreaga’s decision to resign was not due to any disagreement with the Company.
