     The description of the Class B Common Stock, par value $.01 per share (“Common Stock”), of R&G Financial Corporation (the “Company”) to be registered hereunder is set forth under the heading “Description of Capital Stock” in the prospectus contained in the Company’s Registration Statement on Form S-3 (Registration No. 333-90812) filed by the Company with the Securities and Exchange Commission on June 19, 2002, as may be amended from time to time (the “Registration Statement”), which description is incorporated herein by reference.
