	Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective June 30, 2008, SRS Labs, Inc. (the “Company”) and Michael Franzi, an executive officer of the Company, agreed to conclude his service as the Company’s Vice President of Sales and Licensing.  The Company expects that Mr. Franzi will continue to work with the Company during the next several months to facilitate an orderly transition of his responsibilities.
