Item 8.01 Other Events.

On July 1, 2010, Intelligroup, Inc. (the “Company”) and NTT DATA CORPORATION (“NTT DATA”) issued a joint press release announcing the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), in connection with NTT DATA’s previously announced tender offer for all outstanding shares of the Company, at a price of $4.65 per share, net to the seller in cash, without interest, commenced by Mobius Subsidiary Corporation, an indirect wholly owned subsidiary of NTT DATA (the “Offer”). A copy of the press release is attached hereto as Exhibit 99.1 to this report.
