Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

On September 6, 2011, James H. Bason, the Senior Vice President and Chief Lending Officer of Carver Bancorp, Inc. (the “Company”) and its subsidiary, Carver Federal Savings Bank (the “Bank”), resigned from his positions with the Company and the Bank, effective September 16, 2011.  Oversight of the Company’s lending and portfolio management personnel will be handled internally while the Company conducts a search for a chief lending officer.
