On March 3, 2020, QIAGEN N.V., a public limited liability company organized under the laws of The Netherlands (“QIAGEN”) and Thermo Fisher Scientific Inc., a Delaware corporation (“Thermo Fisher”) issued a joint press release announcing the execution of a Business Combination Agreement, dated as of March 3, 2020, between Thermo Fisher and QIAGEN, pursuant to which, upon the terms and subject to the conditions thereof, a wholly owned acquisition subsidiary of Thermo Fisher will commence a tender offer to purchase all of the issued ordinary shares of QIAGEN. A copy of the joint press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
