        <footnote id="F1">Effective May 23, 2003, the Issuer amended certain terms of its Certificate of Designation, Preferences and Rights of Series A Convertible Preferred Stock to, among other things, reduce the Conversion Price then in effect from $0.75 per share to $0.10 per share.  As a result, the Reporting Person has chosen to report this as a disposition of the previously reported preferred shares having a Conversion Price of $0.75 per share and the resulting acquisition of a like number of preferred shares having a Conversion Price of $0.10 per share.</footnote>
        <footnote id="F2">The Preferred Stock has no expiration date.</footnote>
        <footnote id="F3">Effective May 23, 2003, the Issuer issued to the Reporting Person a Restated Warrant which replaced a Warrant previously issued by the Issuer to the Reporting Person on or about April 1, 2002.  The amended terms provide for, among other things, (i) an increase in the number of shares available for purchase thereunder from 533,333 shares of common stock to 4,000,000 shares of common stock, and (ii) a reduction in the exercise price from $1.15 per share to $0.20 per share.  The Reporting Person has chosen to report this as a dispositon of the original Warrant and the resulting acquisition of the Restated Warrant with the amended terms thereof.</footnote>
