3. Common Stock. The shareholders have authorized 100,000,000 shares of voting common shares for issuance. On September 30, 2014, a total of 79,105,800 shares of common stock were either outstanding (73,291,008) or reserved for issuance upon exercise of options and warrants or conversion of convertible preferred stock (5,814,792). No common stock was issued in the nine months ending September 30, 2014.
