(e) On April 27, 2010, the Board of Directors of VeriSign, Inc. (the “Company”) authorized and directed the Company to enter into a Change-in-Control and Retention Agreement with D. James Bidzos, Executive Chairman of the Company, on terms consistent with the Amended and Restated Change-in-Control and Retention Agreements entered into with the Company’s other Section 16 executive officers, other than the Chief Executive Officer, the form of which was filed as an exhibit to the Company’s Quarterly Report on Form 10-Q for the period ended September 30, 2009.
