Item 8.01. Other Events.

On January 31, 2008, the Board of Directors of the Company authorized the Company to repurchase additional shares of its common stock having an aggregate purchase price of up to $600,000,000 at a price per share and upon such terms and conditions as the Company’s authorized officers shall determine are reasonable, appropriate and in the best interests of the Company.
