As of October 10, 1997, the capital stock of the Company consisted of 25,000,000 authorized shares, par value of $.01 per share, 20,000,000 of which are shares of Common Stock, of which 5,580,842 were issued and outstanding (exclusive of treasury shares), and 5,000,000 of which are shares of preferred stock (the "Preferred Stock"), none of which are outstanding. The Common Stock is traded on the Nasdaq National Market under the trading symbol "SISB." Shares of the Common Stock may be issued from time to time, in such amount and proportions and for such consideration as may be fixed by the Board of Directors of the Company.
