Item 8.01 Other Events.

On June 19, 2006, Adam B. Frankel notified Genesee & Wyoming, Inc. (the "Company") of his resignation as Senior Vice President, General Counsel and Secretary of the Company, effective as of July 7, 2006. Mr. Frankel has accepted a position as Senior Managing Director and General Counsel of Evercore Partners Inc., an investment banking boutique and investment management firm. Mr. Frankel has served as an executive officer of the Company since May 2003.
