Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective November 17, 2005, Mr. James Andres’ employment as the Chief Accounting Officer and Global Controller of Genesee & Wyoming Inc. (the "Company") ended. The Company has initiated a search for Mr. Andres’ replacement. Until such time as a new Chief Accounting Officer is named, accounting matters previously managed by Mr. Andres will be handled by senior members of the accounting department and the Chief Financial Officer.
