(b) John M. Palumbo, Vice President, Treasurer and Chief Financial Officer of Registrant announced on January 13, 2006 that he was resigning his office and leaving Registrant effective February 10, 2006. He will become the Chief Financial Officer of a Los Angeles based solar energy company.
