Pursuant to the registration rights agreement entered into with Sealed Air Corporation (the Company), WRG Asbestos PI Trust is registering up to 18,000,000 shares of common stock, $0.10 par value per share, under the Companys registration statement on Form S-3 (File No. 333-195059) (the Registration Statement), as supplemented by the prospectus supplement filed April 4, 2014 with the Securities and Exchange Commission.
Attached hereto, and incorporated by reference to the Registration Statement as Exhibit 5.2, is the opinion of Skadden, Arps, Slate, Meagher & Flom LLP relating to the legality of the Shares.
