INDEMNIFICATION OF DIRECTORS AND OFFICERS
The Company is incorporated under the laws of the State of Delaware. Section 145 of the Delaware General Corporation Law provides that a Delaware corporation may indemnify any person who is, or is threatened to be made, a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of such corporation), by reason of the fact that such person is or was an officer, director, employee or agent of such corporation, or is or was serving at the request of such corporation as an officer, director, employee or agent of another corporation or enterprise. The indemnity may include expenses (including attorneys fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with such action, suit or proceeding, provided that such person acted in good faith and in a manner he or she reasonably believed to be in or not opposed to the corporations best interests and, with respect to any criminal action or proceeding, had no reasonable cause to believe that his or her conduct was illegal. A Delaware corporation may indemnify any person who is, or is threatened to be made, a party to any threatened, pending or completed action or suit by or in the right of the corporation by reason of the fact that such person is or was a director, officer, employee or agent of such corporation, or is or was serving at the request of such corporation as a director, officer, employee or agent of another corporation or enterprise. The indemnity may include expenses (including attorneys fees) actually and reasonably incurred by such person in connection with the defense or settlement of such action or suit provided such person acted in good faith and in a manner he or she reasonably believed to be in or not
opposed to the corporations best interests except that no indemnification is permitted without judicial approval if the officer or director is adjudged to be liable to the corporation. Where a present or former officer or director is successful on the merits or otherwise in the defense of any action referred to above, the corporation must indemnify him or her against the expenses that he or she has actually and reasonably incurred. The Companys certificate of incorporation and bylaws provide for the indemnification of the Companys directors and officers to the fullest extent permitted under the Delaware General Corporation Law.
The Companys certificate of incorporation contains a provision permitted under Delaware law relating to the liability of directors. This provision eliminates a directors personal liability for monetary damages resulting from a breach of fiduciary duty, except for liability for any:
| transaction from which the director derives an improper personal benefit; |
| act or omission not in good faith or that involves intentional misconduct or a knowing violation of law; |
| unlawful payment of dividends or redemption of shares; or |
| breach of a directors duty of loyalty to the corporation or its stockholders. |
As permitted by the Delaware General Corporation Law, the Company has entered into indemnification agreements with its directors and executive officers, in addition to indemnification provided for in the Companys bylaws, and intends to enter into indemnification agreements with any new directors and executive officers in the future. Under these agreements, the Company is required to indemnify such executive officers and directors against all expenses (including attorneys fees), witness fees, judgments, fines, settlements and other amounts incurred in connection with any action, discovery event, claim, issue or matter therein or related thereto, to which any such person may be made a party by reason of the fact that such person is or was a director, officer, trustee, administrator, partner, member, fiduciary, employee or agent of the Company or any of its affiliated enterprises. The Companys obligation to pay expenses is subject to the condition that the indemnified person will repay such expenses if it is ultimately determined that any such person would not be permitted to be indemnified under applicable law. The indemnification agreements also set forth procedures that will apply in the event of a claim for indemnification thereunder.
The registrant has purchased and intends to maintain insurance on behalf of any person who is or was a director or officer of the registrant against any loss arising from any claim asserted against him or her and incurred by him or her in any such capacity, subject to certain exclusions.

You have requested our opinion with respect to certain matters in connection with the filing by Medivation, Inc. (the Company) of a Registration Statement on Form S-8 (the Registration Statement) with the Securities and Exchange Commission covering the offering of up to (i) 3,000,000 shares of the Companys common stock, par value $0.01 per share (the ESPP Shares), issuable pursuant to the Companys 2013 Employee Stock Purchase Plan (the ESPP), (ii) 550,000 shares of the Companys common stock, par value $0.01 per share (the EIP Shares and together with the ESPP Shares, the Shares), issuable pursuant to the Companys Amended and Restated 2004 Equity Incentive Award Plan (the EIP and together with the ESPP, the Plans), and (iii) 3,550,000 associated rights to purchase Series C Junior Participating Preferred Stock (the Purchase Rights) pursuant to the Rights Agreement (the Rights Agreement), dated as of December 4, 2006, between the Company and American Stock Transfer & Trust Company, as Rights Agent (the Rights Agent).
In connection with this opinion, we have examined and relied upon (a) the Plans, and the Registration Statement and related prospectuses, (b) the Companys Amended and Restated Certificate of Incorporation, as amended, Certificate of Designations of Series C Junior Participating Preferred Stock, Amended and Restated Certificate of Designations, Preferences, Rights and Limitations of Series B Convertible Preferred Stock, Amended and Restated Bylaws and the Rights Agreement, each as currently in effect, and (c) the originals or copies certified to our satisfaction of such records, documents, certificates, memoranda and other instruments as in our judgment are necessary or appropriate to enable us to render the opinion expressed below. We have assumed the genuineness and authenticity of all signatures on original documents; the authenticity of all documents submitted to us as originals; the conformity to originals of all documents submitted to us as copies; the accuracy, completeness and authenticity of certificates of public officials, and the due authorization, execution and delivery of all documents, where authorization, where due execution and delivery are prerequisites to the effectiveness of such documents. We have also assumed that the Rights Agreement has been duly authorized, executed and delivered by the Rights Agent and that the members of the Board of Directors of the Company have acted in a manner consistent with their fiduciary duties as required under applicable law in adopting and amending the Rights Agreement. As to certain factual matters, we have relied upon a certificate of an officer of the Company to verify such matters. Our opinion is expressed only with respect to the federal laws of the United States of America and the General Corporation Law of the State of Delaware. We express no opinion as to whether the laws of any particular jurisdiction other than those identified above are applicable to the subject matter hereof.
On the basis of the foregoing, and in reliance thereon, we are of the opinion that the Shares and the associated Purchase Rights have been duly authorized by all necessary corporate action on the part of the Company and, upon issuance, delivery and payment therefor in accordance with the Plans, the Rights Agreement, the Registration Statement and related prospectuses, the Shares and the associated Purchase Rights will be validly issued and the Shares will be fully paid and nonassessable.
This opinion does not address the determination a court of competent jurisdiction may make regarding whether the Board of Directors of the Company would be required to redeem or terminate, or take other action with respect to, the Purchase Rights at some future time based on the facts and circumstances existing at that time. In addition, it should be understood that our opinion addresses the Rights Agreement and the Purchase Rights in their entirety and not any particular provision of the Rights Agreement or the Purchase Rights and that it is not settled whether the invalidity of any particular provision of a rights agreement or of rights issued thereunder would result in invalidating in their entirety such rights.
