Item 1. Description of Registrant’s Securities to be Registered.

The description of the common stock, par value $0.01 per share (the “Common Stock”), of Medivation, Inc., a Delaware corporation (the “Registrant”), is incorporated by reference to the information set forth under the caption “Description of Capital Stock” in the prospectus supplement filed pursuant to Rule 424(b)(5) under the Securities Act of 1933, as amended, in the form in which it was filed on December 8, 2006 with the Securities and Exchange Commission. The prospectus supplement supplements the prospectus contained in the Registrant’s registration statement on Form S-3 (File No. 333-138057), as amended from time to time. The Registrant currently lists its Common Stock on the American Stock Exchange. On February 27, 2007 the Registrant received a letter from The NASDAQ Stock Market LLC approving the Registrant’s application to list its Common Stock on The Nasdaq Global Market. The Registrant intends to withdraw its Common Stock from listing on the American Stock Exchange and transfer its listing to The Nasdaq Global Market. The Registrant expects that its Common Stock will begin trading on The Nasdaq Global Market under the symbol MDVN at the opening of trading on March 20, 2007. The Registrant’s Common Stock will continue to trade on the American Stock Exchange under the symbol MDV until the close of trading on March 19, 2007.
