For over 100 years, Herman Miller has been an industry innovator with brands that have become synonymous with modern design. Our dealer partners have a played a critical role in our growth and success, which is why I am reaching out to update you on some exciting news.

 

Earlier this morning, we announced that we have entered into an agreement to acquire Knoll, a constellation of design-driven brands that leverage modern design to connect people with their work, lives, and world. This combination will allow us to offer customers a more expanded portfolio of solutions designed to help them achieve their key business objectives, from attracting and retaining top talent to optimizing their real estate footprint, and more. We expect the transaction to close by the end of the third quarter of calendar year 2021, subject to the satisfaction of closing conditions. We are excited about this combination for many reasons. First and foremost, bringing Herman Miller and Knoll together will create the preeminent leader in modern design, catalyzing the transformation of the home and office sectors at a time of unprecedented disruption. Our Contract and Retail businesses are highly complementary, and collectively we will have 19 leading brands, presence across over 100 countries worldwide, a global dealer network, 64 showrooms globally, more than 50 physical retail locations, and global multi-channel eCommerce capabilities.

 

As you well know, distributed working models are becoming the new normal for companies. Within this changing landscape, businesses are reimagining the office to foster collaboration, culture, and focused work, while supporting a growing remote employee base. At the same time, consumers are making significant investments in their homes. With a broad portfolio, global footprint, and advanced digital capabilities, a combined Herman Miller and Knoll will be well poised to meet our customers everywhere they live and work. In short, bringing together Herman Miller’s and Knoll’s talented people and brands will enable us to deliver on the full potential of our two companies, enabling us to better serve our dealers over time.

 

Herman Miller and Knoll both have cultures guided by values that support problem-solving design and doing well by doing good, and these shared beliefs will contribute to a smooth integration. But for now, and until the transaction closes, Herman Miller and Knoll will continue to operate as separate, independent companies. This means that our existing contracts and strategy will continue unchanged, and all business will continue in the normal course. Your Sales team contacts at Herman Miller will also remain the same. In other words, it remains business as usual, and there will be no change in how we work with you, and you and our customers can expect the same high-quality products and design solutions that you have come to rely on from Herman Miller.
