Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 2, 2020, David L. Schutte resigned from his position as Knoll, Inc.’s (the “Company”) Executive Vice President-Lifestyle, effective October 16, 2020. Pursuant to an amicable separation agreement executed by the Company and Mr. Schutte, Mr. Schutte will receive separation pay in the amount of $575,000. As part of the separation agreement, Mr. Schutte agreed to non-competition provisions restricting him from competing with the Company for a period of six (6) months. Additionally, the Company and Mr. Schutte agreed that Mr. Schutte’s resignation shall be treated as a “termination without cause” for purposes of the equity award agreements previously granted to Mr. Schutte by the Company.
