Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On November 17, 2008, Yahoo! Inc. (the “Company”) announced that its Board of Directors has initiated a search for a new Chief Executive Officer and that Jerry Yang intends to resign as Chief Executive Officer upon the appointment of his successor. After stepping down as Chief Executive Officer, Mr. Yang will return to his former role as Chief Yahoo and continue to serve on the Board of Directors of the Company.
Item 7.01.   Regulation FD Disclosure.
     On November 17, 2008, the Company issued a press release announcing Mr. Yang’s intent to resign.
     A copy of the press release is furnished with this Form 8-K and attached hereto as Exhibit 99.1. Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended, or the Exchange Act.
