Item 1.01 Entry into a Material Definitive Agreement.

On July 25, 2005 the Compensation Committee of the Board of Directors of Chiquita Brands International, Inc. approved compensation for Jeffrey M. Zalla, who was appointed Senior Vice President and Chief Financial Officer of the Company effective June 1, 2005. Mr. Zalla’s annual salary, effective June 1, 2005, will be $350,000.
