Item 1.01. Entry into a Material Definitive Agreement.

On March 29, 2005, the Compensation & Organization Development Committee of the Board of Directors established financial performance criteria under its Annual Bonus Program for the award of cash bonuses in early 2006 based on performance during 2005. These criteria are based on achievement of specified levels of net income. The Committee also revised in certain respects the financial performance criteria previously established under its Long Term Incentive Program for the award of restricted stock in early 2006 based on performance during 2005. These latter criteria are based on achievement of specified levels of earnings per primary share. Executive officers of the Company participate in both of these Programs.
