Item 1.01. Entry into a Material Definitive Agreement.

On September 28, 2004 Chiquita Brands International, Inc. (the "Company") elected Tanios Viviani as Vice President, Fresh Cut Fruit. Pursuant to his offer letter, the Company agreed that, following completion by Mr. Viviani of one full year of service with the Company, if his employment is involuntarily terminated by the Company for reasons other than "cause," he would be eligible for severance in an amount equal to one year of his then current base salary.
