Item 1.01 Entry into a Material Definitive Agreement

On August 1, 2005 the Compensation Committee of the Board of Directors of Chiquita Brands International, Inc. approved compensation for Tanios Viviani, who was elected President of the Company’s Fresh Express packaged salad and fresh cut fruit business effective July 1, 2005. Mr. Viviani’s annual salary, effective July 1, 2005, will be $380,000.
