Item 8.01 Other Events.

On January 19, 2006 TLC Vision Corporation announced the establishment of a laser vision correction center on the Fullerton campus of the Southern California College of Optometry. This center will be called TLC at the Southern California College of Optometry and is a relocation of the TLC Brea Center. Further details are included in the press release, a copy of which is attached as exhibit 99.1.
