Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 20, 2022, Frederick S. Hencken III notified Capstone Green Energy Corporation (the Company”) of his resignation as Chief Financial Officer (serving as principal financial officer and principal accounting officer) of the Company to pursue another professional opportunity. Mr. Hencken’s resignation, which will be effective on July 8, 2022, was not the result of any disagreements with the Board of Directors or management of the Company. The Company is in the process of conducting a search for a permanent new Chief Financial Officer, and expects to engage a consultant to serve as interim chief financial officer to fulfill Mr. Hencken’s responsibilities until a permanent replacement is retained.
