Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective October 1, 2008, Michael Rose resigned from the Company’s Board of Directors, including all committees, to pursue other interests. The Company’s Board of Directors has appointed current board member L. William Krause to the Audit Committee to fill the vacancy resulting from Mr. Rose’s resignation.
