Item 8.01 Other Events.
Effective as of the Annual Meeting of Stockholders of Brocade Communications Systems, Inc. (the “Company”) on April 10, 2008, John Gerdelman was appointed as a member of the Company’s Audit Committee to fill the vacancy on the Audit Committee due to the departure of Robert R. Walker, who did not stand for re-election to the Board of Directors. In addition, Glenn C. Jones was appointed as the chairman of the Audit Committee by the Company’s Board of Directors.
Effective April 10, 2008, the Company also established new stock ownership guidelines for non-employee members of the Company’s Board of Directors. Under the revised guidelines, non-employee directors are required to hold at least 10,000 shares of the Company’s common stock. Brocade’s non-employee directors have four years to achieve this ownership level. Twenty-five percent of the restricted stock units awarded each year to non-employee directors are to be retained, upon vesting, until the target guideline is achieved.
