Item 2.02. Results of Operations and Financial Condition.
On January 12, 2006, Brocade Communications Systems, Inc. (the “Company”) issued a press release announcing that the filing of its Annual Report on Form 10-K for the fiscal year ended on October 29, 2005 would be delayed to allow completion of the audit and work related to Section 404 of the Sarbanes-Oxley Act of 2002. In the press release, the Company also noted that it had not identified any material weakness in its internal control over financial reporting and did not expect any adjustments to its financial results for the fourth quarter and fiscal year ended October 29, 2005, as previously announced on December 6, 2005. The Company further commented that it expected to file its Form 10-K within the 15-day extension period afforded by SEC Rule 12b-25 under the Securities Exchange Act of 1934.
A copy of the press release is attached as Exhibit 99.1, and the information in Exhibit 99.1 is incorporated herein by reference.
