Item 8.01 Other Events.

On the afternoon of June 9, 2005, Brocade Communications Systems, Inc. (the “Company”) received notice that the Securities and Exchange Commission’s informal inquiry regarding the Company’s previous accounting for certain stock options is now the subject of a formal order of investigation.

The Company continues to cooperate with the SEC’s formal investigation.
