Item 2.02 Results of Operations and Financial Condition.

     On May 2, 2005, Brocade Communications Systems, Inc. issued a press release announcing its preliminary financial results for the second fiscal quarter ended on April 30, 2005. A copy of the press release is attached as Exhibit 99.1, and the information in Exhibit 99.1 is incorporated herein by reference.
