Item 8.01.      Other Events
     On November 18, 2005, Emdeon Corporation issued a press release announcing that it will commence a tender offer next week to purchase up to 60,000,000 shares of its common stock at a price per share of $8.20. A copy of the press release is attached as Exhibit 99.1 hereto, the contents of which are incorporated herein by reference.
