EMDEON CORPORATION ANNOUNCES ITS INTENTION TO COMMENCE A TENDER OFFER TO

REPURCHASE UP TO 60,000,000 SHARES OF ITS COMMON STOCK

ELMWOOD PARK, NJ (November 18, 2005) – Emdeon Corporation (NASDAQ: HLTH) announced today that it will commence a tender offer next week to purchase up to 60,000,000 shares of its common stock at a price per share of $8.20. The number of shares proposed to be purchased in the tender offer represents approximately 17.4% of the Company’s currently outstanding shares. The Company will use its cash on hand for the purchase. The last reported sales price per share of the Company’s common stock on the Nasdaq National Market on Thursday, November 17, 2005 was $8.37 per share.

The Company’s directors and executive officers have advised the Company that they do not intend to tender any of their shares in the tender offer.

The tender offer will remain open for at least 20 business days. Tenders of shares must be made on or prior to the expiration of the tender offer and may be withdrawn at any time on or prior to the expiration of the tender offer.

The tender offer is subject to a number of terms and conditions described in the offer to purchase that will be distributed to stockholders, including that a minimum of 27,500,000 shares be properly tendered and not withdrawn in the offer.

None of the Company, its Board of Directors, or the information agent will make any recommendations to stockholders as to whether to tender or refrain from tendering their shares into the tender offer. Stockholders must decide how many shares they will tender, if any.

The offer to purchase, letter of transmittal and related documents will be mailed to stockholders of record and will also be made available for distribution to beneficial owners of the Company’s common stock.
