On May 24, 2006, i2 Technologies, Inc. (the “Company”) received a communication from Robert L. Crandall notifying the Company of Mr. Crandall’s decision to not stand for re-election to the Board of Directors of the Company at the Annual Meeting of Stockholders on May 31, 2006. Mr. Crandall expressed no disagreement with any issue before or decision of the Board or any matter relating to the Company’s operations, policies or practices.
