This Current Report on Form 8-K/A amends certain information included in a Current Report on Form 8-K filed by Union Pacific Corporation (the Company) on September 30, 2008, regarding the election of Michael R. McCarthy to the Board of Directors (the Board) of the Company on September 25, 2008. The Board did not appoint Mr. McCarthy to serve on any of its committees at the time of his election. At a regular meeting held on November 20, 2008, the Board appointed Mr. McCarthy to serve on the Audit Committee and the Finance Committee.
