Item 7.01 Regulation FD Disclosure.

On July 22, 2008, the United States Department of Justice issued a press release regarding its settlement agreement with Union Pacific Railroad Company (the “Railroad”), the principal operating subsidiary of Union Pacific Corporation (the “Company”), for claims arising out of the August 17, 2000 fire near Storrie, California.

The settlement amount of $102 million will not affect the Company’s 2008 earnings or cash flow. The Railroad incurred a $10 million liability at the time of the fire, and insurance proceeds will cover the balance of the settlement.
