Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of March 29, 2016, Puneet Pamnani, the Senior Vice President – M&A and Chief Strategy Officer of PRGX Global, Inc. (the “Company”), has left the Company. The Company expects to enter into a separation agreement with Mr. Pamnani, the terms of which will be disclosed in a separate Form 8-K.
