Coffee Holding Co., Inc., a Nevada corporation (the “Registrant”), is unable to file its Annual Report on Form 10-K for the fiscal year ended October 31, 2020 (the “fiscal 2020 Form 10-K”), within the time period prescribed for such report without unreasonable effort or expense, because the Company requires additional time to prepare necessary disclosures required in the report and to provide the Company’s auditors with information for them to complete their audit procedures and furnish their opinion. The Company continues to dedicate significant resources to the fiscal 2020 Form 10-K, and the Company currently expects to timely file the fiscal 2020 Form 10-K within the 15 calendar day extension period afforded by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
