*** The purpose of this filing is to add this description of the timing of the election of the Reporting Person as a director of the Issuer.  On November 21, 2005, the effective date occurred under that certain Fourth Amended Joint Plan of Reorganization Under Chapter 11 of the Bankruptcy Code, dated as of June 3, 2005 of Loral Space &amp; Communications, Ltd. and its subsidiaries that are a party thereto (the &quot;Plan&quot;). The Plan contemplated that the Reporting Person would become a director of the issuer subsequent to the effective date and, pursuant to and in accordance with the Plan, the Reporting Person was elected a director of the Issuer on November 23, 2005 by the then-current board of direcors of the Issuer and became such on that day.</remarks>
