Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 3, 2010, CSG Systems International Inc. (the “Company”) and Robert M. Scott, Executive Vice President, agreed that Mr. Scott’s employment with the Company will terminate effective June 30, 2010. Mr. Scott shall be entitled to the benefits under Section 10(d) of his Restated Employment Agreement dated May 29, 2008, as amended on August 19, 2008, and February 19, 2009.
