         Effective November 6, 2000, Roger A. Barnes, chief financial officer of
Cylink, left Cylink to join another company. Christopher Chillingworth, formerly
Cylink's  Corporate  Controller,  has  been  appointed  Acting  Chief  Financial
Officer.
