SPAR Group, Inc. ("SGRP" or the "Corporation", and together with its subsidiaries, the "Company", "SPAR" or "SPAR Group") has listed its shares of Common Stock for trading through the Nasdaq Stock Market LLC ("Nasdaq") under the trading symbol "SGRP" and periodically files reports with the Securities and Exchange Commission ("SEC").

Item 8.01   Other Events.

SGRP reports today that Michael Wager, the Chairman of the Board and a director of the Company, passed away on July 8, 2023. Mr. Wager served as Chairman of the Board since 2022, served on the Board since 2021, and also served on the Board 's Audit and Governance Committees.

Mike Matacunas, the Company's President and CEO, said, "It is with great sadness that we announce the passing of Michael Wager. He was an outstanding Director of the Company and a mentor to many of us. He will be missed not only as a business colleague, but also as a friend. We extend our deepest sympathies to his wife, Peggy, as well as to the entire Wager family."

Under the Corporation’s By-Laws, Mr. Matacunas assumes the role of Chairman until a new Super Independent Director is elected to the role by the Board.
