Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On March 20, 2018, Jeh C. Johnson, a member of the Board of Directors of PG&E Corporation (the “Company”), notified the Company that he will not stand for re-election to the Company’s Board of Directors for the 2018-2019 term. Mr. Johnson’s current term ends on the day of the Company’s 2018 annual meeting of shareholders that is scheduled to be held on May 22, 2018. Mr. Johnson’s decision to not stand for re-election to the Company’s Board of Directors did not involve any disagreement on any matter relating to the Company’s operations, policies or practices.
